On re-registration, Companies House will issue you with an amended certificate of incorporation. The certificate will include the changed name and status of the company and the date of re-registration.
There is a fee of £20 which is payable to Companies House in respect of an application to re-register. You need to make cheques and postal orders payable to ‘Companies House’.
Re-registration from a private company to a public company
If you own a private company with share capital you can re-register as a public company by passing a special resolution to do so.
To do this you need to fill in an RR01 form application to re-register as a public company to Companies House.
You need to send this with the following documents:
- a copy of the special resolution
- a printed copy of the amended Articles of Association
- a copy of the relevant balance sheet
- a copy of the auditor’s written statement
- a copy of the auditor’s unqualified report
- a statement of the proposed secretary (if the company doesn’t currently have one)
Re-registration from a public company to a private company
If you own a public company there are a few ways you can re-register as a private company:
Pass a special resolution – Send your application to re-register to Companies House using form RR02. You need to send this with a copy of the special resolution and a printed copy of your amended Articles of Association.
Court order to reduce capital – Send your re-register to Companies House using form RR08. Again this needs to be sent with a copy of the court order and a printed copy of your amended Articles of Association.
Cancellation of shares – If a cancellation of shares results in the value of share capital falling below the minimum for a public company, the company must re-register as a private company. To do this you need to send form RR09 to Companies House. This needs to be sent along with a copy of the director’s resolution and a printed copy of the amended Articles of Association.
Following a reduction of capital due to a redenomination of shares – In this instance, you will need to complete and send form RR05 to Companies House with assent from all the members and a printed copy of the amended Articles of Association.
Re-registration from an unlimited company to a private company
If you own an unlimited company and wish to re-register as a private limited company by shares or guarantee you can do so by passing a special resolution. To do this you will need to fill in and send form RR06 to companies house. This form needs to be sent with a copy of the special resolution and a printed copy of the amended Articles of Association.
Re-registration from a public company to a private unlimited company
If you own a public company and wish to re-register as an unlimited company you can do so by completing and sending form RR07 to Companies House. You’ll need to do this with assent from all the members and a printed copy of the amended Articles of Association.
