Unique Company Name

The first step is choosing a unique name for the business. Because this is an important aspect of starting any kind of business, it must be done carefully. If the name is too similar to another already existing one or isn’t unique enough, then your application will likely be denied by the registrar.

In some cases, people will choose a variation of their own name as a business’ name or an abbreviation of it, but this could have negative consequences if the owner decides to sell it later on.

Your company name should also be relevant, memorable and to the point. It should sum up what you’re all about and relate to your industry. Your company name will be one of the first things your customers see, so it needs to make an impression.

Spend some time on this. Remember: if your company is a private limited company, it must end with “Limited” or “Ltd”. 

Registered Office Address

To set up a limited company, you must provide your registered office address to Companies House. This is not just for tax purposes but it also allows HMRC and other official documents to be sent to this address. This means that your registered office address should be an actual physical location in the UK as opposed to a PO Box or mail drop. 

The office address you use to register a limited company will be put on the public record, making it accessible to marketing agencies and the general public. This means that we do not recommend using your home address for this, but you can do if it is your only option.

Your Business Type (SIC code)

It is important to have SIC codes when you are registering a company. This will help the government to correctly identify the industry sector in which your company belongs. This will ensure that there is no confusion on where your business fits into which will make it easier for the government to know what taxes are necessary. The simpler it is for them, the easier it is for you.

Every type of business has a SIC (Standard Industrial Classification) code. These codes outline the nature of your business and what your business does. Whether you’re in finance, events, marketing or something completely different, you will be required to choose a SIC code suitable for your company during the company registration process. 

Proof of ID

In order to satisfy Anti-Money Laundering (AML) regulations, photo ID and proof of address may be required when registering a company. These will be requested when needed and must be provided as they are a legal requirement.

Details of Various Company Roles

You will need to submit the details of various company roles when you register your company. The roles that require their details to be submitted are: the company director(s) and the company shareholder(s) as well as the company secretary (if you have one) and any other Persons of Significant Control (PSC) in your company. The details required for each role are as follows.

Company Director Details

  • Full name
  • Date of birth – minimum age requirement of 16
  • Occupation
  • Nationality
  • Residential Address (not on the public register)
  • Service Address (residential or other address)

Shareholders’ Details

Where the shareholder is a Person with Significant Control (PSC)

  • Full name
  • Date of Birth
  • Residential address
  • Service address (residential or other address)
  • Nationality
  • Nature of control (eg. The person holds more than 50% – 75% of shares.)
  • Three Security Details (acting an online signature)
    • First three letters of town of birth
    • First three letters of mother’s maiden name
    • First three letters of father’s forename

Shareholders’ Details

Where the shareholder is NOT a Person with Significant Control (PSC)

  • Full name
  • Date of birth
  • Residential Address
  • Service Address (residential or other address)
  • Nationality
  • Three Security Details (acting as an online signature):
    •  First three letters of mother’s maiden name
    •  First three letters of father’s forename
    •  First three letters of town of birth

Secretary Details (If applicable)

  • Full name
  • Date of Birth (must be at least 16 years old)
  • Occupation
  • Nationality
  • Residential address (not on the public register)
  • Service address (residential or other address)

Person with Significant Control (PSC) Details

Where the person is not a director, shareholder or secretary

  • Full name
  • Date of Birth
  • Residential Address (not on the public register)
  • Service Address (residential or other address)
  • Nationality
  • Nature of control (eg. The person holds more than 50% – 75% of shares.)
